Which is more valuable, the code or the branding features depends on what point of the spectrum you are on. The branding features are more valuable to a client and the code is most valuable to the livelihood of a developer who holds exclusive rights to modify and reuse it. The EULA protects both parties against infringement and fraud by clearly stating who is responsible for the code that makes a site function. A customer must have exclusive rights to their trademark, slogans, and text. A EULA clarifies this perfectly.

A copyright for a work of art begins from the moment of creation. A copyright for a novel begins from the moment a writer begins the writing process. This includes a first draft all the way up until the finished, polished end. This is the point where a signed contract from a developer, an artist, a writer, or a programmer is valuable to protect your assets and theirs from any misconstrued understandings.
